You hereby consent to and authorize Bring Change 2 Mind.org (“BC2M”) to use and reproduce your submitted video(s) on a gratis basis for the benefit of BC2M. BC2M, its licensees, successors, business partners and/or assigns shall have the right to exhibit, transmit and distribute your video(s) in any and all markets and media throughout the world, in perpetuity and shall have the right to include the video(s) in the advertising and promotion of the Organization.
By providing your video(s), represent and warrant that you are the sole proprietor of all rights in and to the video(s); that you have full power and authority to grant the rights granted to BC2M herein; that you have obtained all rights, consents and permissions, including but not limited to those of persons appearing in the video(s), necessary to grant the rights granted herein; and that the use of the video(s) by BC2M as set forth above shall not violate or infringe upon the rights of any individual or entity, including but not limited to the rights of any person appearing in the video(s) are free and clear of any liens or claims with respect to the use of the video(s) in the manner authorized herein, and that such use authorized herein will not give rise to any claims of infringement, defamation, invasion of privacy, publicity, claims for payment of re-use fees or residuals, or any other claims.
By providing your videos), you shall defend, indemnify and hold BC2M, its officers, directors, employees and partners harmless from and against any and all claims, damages, liabilities, costs and expenses (including reasonable attorney’s fees) arising out of or relating to a breach or alleged breach of the representations or warranties provided herein. You further agree that in no event shall you have the right to enjoin the development, production, distribution or exploitation of the Organization.
